This Agreement between THE JOHNS HOPKINS HOSPITAL on behalf of THE INSTITUTE OF JOHNS HOPKINS NURSING (IJHN), with an address of 600 North Wolfe Street, Baltimore, Maryland 21287 (herein referred to as “Consultant”) and the client completing and signing this agreement (herein referred to as “Client”). In consideration of the mutual promises set forth herein, it is agreed by and between Consultant and Client as follows:
SECTION ONE: NATURE OF WORK
IJHN will provide SCORM files for the online course entitled, “The Johns Hopkins Fall Risk Assessment Tool (JHFRAT): Instructions for Use,” for uploading in Client’s learning management system.
Client agrees to the following:
- Above mentioned course is for their internal use and may be accessed by Client’s employees only.
- Client may not modify, share, or distribute the course files.
- Client agrees that any materials or handouts provided by Consultant are the intellectual property of the Consultant.
- Client will provide Consultant with a list of full names and email addresses of individuals who have enrolled in the course quarterly (due July 1, September 1, December 1, April 1)
SECTION FOUR: STATUS OF CONSULTANT
This Agreement calls for the performance of the services of Consultant as an independent contractor and Consultant, its employees and agents will not be considered employees of the Client for any purpose. Nothing in this Agreement is intended to, or shall be deemed to constitute a partnership or joint venture between the parties. The Johns Hopkins Hospital and The Johns Hopkins Health System shall not be liable for meeting any obligations or expenses not detailed in this MOU.
SECTION FIVE: CONFIDENTIAL INFORMATION
ALL INFORMATION PROVIDED BY CONSULTANT TO CLIENT AS A PART OF THIS ENGAGEMENT IS PROVIDED “AS IS” WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER. No part of the materials may be modified, redistributed or reproduced in any form or by any means, electronic or mechanical, including photocopying, recording, or by any information storage and retrieval system without PRIOR authorization from Consultant.
SECTION SIX: MISCELLANEOUS
Neither party may assign this Assignment or any interest therein without the written consent of the other party. The laws of the State of Maryland shall govern the construction and interpretation of this Agreement. This instrument contains the entire Agreement between the parties, and no statements, promises, or inducements made by either party or agent for either party that are not contained in this written Agreement shall be valid or binding; and this Agreement may not be enlarged, modified, or altered except in writing signed by the parties.
